The Texas Department of Banking issued a charter to Guaranty State Bank on January 20, 1913.[11][14] The bank’s name changed to Guaranty Bond State Bank in 1927.[11]

In 1979, the bank added trust powers.[11] The following year Guaranty created Guaranty Bancshares Inc., its holding company.[11] In 1981, the bank changed its name to Guaranty Bank.[11]

In 2002, the bank changed its name from Guaranty Bank to Guaranty Bond Bank.[11]

In 2014, the bank changed its name from Guaranty Bond Bank to Guaranty Bank & Trust. The bank was ranked 15th best bank to work for in the United States by American Banker in 2016.[4]

Ownership[edit]

From its founding in 1913 until 1998, Guaranty Bank & Trust was a privately held company. Guaranty Bank & Trust's parent company, Guaranty Bancshares, became listed under the symbol “GNTY” on the NASDAQ Exchange.[15][16]

In June 2005, Guaranty Bancshares de-listed from the Nasdaq exchange and became privately held company.[17]

In May 2017, Guaranty Bancshares Inc. underwent an IPO and was listed on the NASDAQ Exchange under the "GNTY" symbol.[18]

Locations[edit]

In April 1994, the first location in Paris, Texas opened.[19] Guaranty Bank & Trust also opened its second Mount Pleasant location in 1996.[15] The bank opened a full-service location in Texarkana in 1997.[15] In April 1999, Guaranty opened a location in Pittsburg, Texas.[20][21]

Guaranty Bank & Trust opened a loan production office in August 2000 in Fort Stockton, Texas.[22] The Fort Stockton location became a full service bank in December of that same year.[22] In March 2004, Guaranty Bank & Trust opened a location in Mount Vernon, Texas.[23][24] In August 2004, the Deport location was closed, with customers transferred to nearby towns’ branches.[22] A second Texarkana location opened in July that same year.[24] In 2008, Guaranty Bank & Trust closed its Talco location. The following year, it opened a location in New Boston, Texas.[24] In 2010, Guaranty Bank & Trust added both a mobile bank and another full service branch in Texarkana.[24]

A location was opened in Atlanta, Texas in May 2011.[24] In April 2013, Guaranty Bank & Trust opened its second Paris, Texas location.[25][26] New locations were added in Longview and College Station in 2013.[27] In June 2014, a location was opened in Bryan, TX.[28] In 2015, a location was added in Royce City, Texas, as part of the acquisition of Texas Leadership Bank.[12] Two more locations were added in the North Dallas area as part of the 2015 acquisition of Preston State Bank.[13] Additionally, in 2015 Guaranty Bank opened a location in Rockwall.

In May 2016, the bank opened a new location in Denton, Texas. Guaranty Bank & Trust announced an additional College Station location in June 2016[2] before acquiring a second Denton location from Independent Bank in August.[3]

The bank opened an additional location in Austin in November 2017[29] and an additional location in Fort Worth in January 2018.[30]

Acquisitions[edit]

In 1992, Guaranty Bank & Trust acquired the First National Bank of Deport, with branches in both Deport, Texas and Paris, Texas.[22][31] The company purchased a commercial bank in Bogata, Texas guaranty bank and trust company denver co 1993.[22] Talco State Bank, chartered in 1912, merged with Guaranty Bank & Trust in 1997.[22][32]

In 1999, Guaranty Bank & Trust acquired First American Financial Corporation, with its Sulphur Springs and Commerce, Texas locations, and wholly owned mortgage company.[22] The renamed Guaranty Mortgage Company was folded into the bank in 2000.[22]

In 2011, the Fort Stockton location was sold to West Texas State Bank.[33] First State Bank of Hallsville, Texas merged with Guaranty Bank & Trust in August 2013.[10][34] Guaranty Bancshares acquired DCB Financial in 2015.[35]

In 2015, Guaranty Bank & Trust acquired Preston State Bank, a subsidiary of DCB Financial Corp.[13] Texas Leadership Bank was also acquired and its operations merged into Guaranty Bank & Trust in 2015.[12]

On June 1, 2018, Guaranty Bank & Trust acquired Westbound Bank, N.A. of Katy, TX, facilitating entrance into the Houston, TX region.[36]

PER CURIAM.

The parties appear here in the same order as they appeared in the trial court. We shall so refer to them.

Defendants' motions to dismiss and for summary judgment were granted and the action dismissed. Motion for new trial was denied and the plaintiff is here by writ of error.

Plaintiff's third claim is the principal one of five claims pleaded guaranty bank and trust company denver co its second amended complaint. The others are dependent upon it. It is flavored greek yogurt good for you further alleged that on March 25, 1957, defendant trust company disaffirmed and breached its contract with plaintiff by taking and exercising control of the collection of the paper involved; that the company's conduct gave plaintiff the right to treat the contract at an end; that the trust company should be required to pay to plaintiff the balance of the purchase price on deposit in the reserve account, being the sum of $57,076; and that plaintiff be relieved from the further payment of interest and recourse responsibility on the subject notes.

The first claim alleges that on February 8, 1957, plaintiff tendered to defendant trust company for purchase under the aforementioned agreement, commercial paper in the sum of $9,795.96, but that said defendant wrongfully refused to perform the contract, resulting in loss and damage to plaintiff in the sum of $1,694.70.

The second claim alleges generally that while the agreement between first data login for merchants and defendant trust company was in effect, plaintiff expended the sum of $9,066.75 in acquiring commercial paper for the said defendant from which plaintiff would have derived a profit of $6,346.75, and that the trust company revoked its offer to purchase and refused to consummate a purchase of such paper, to plaintiff's further damage in the sum of $15,413.50.

The fourth claim is against defendant Walter A. Woods, individually, and in substance alleges that Woods, individually or as an agent of defendant trust company, willfully and maliciously induced the defendant trust company to breach the contract between plaintiff and defendant trust company, to plaintiff's damage in the respective amounts alleged in the first, second and third claims for relief.

The fifth claim alleges that defendant Woods willfully and maliciously induced certain reputable banks and their officers not to have business dealings with plaintiff, and that said defendant falsely represented that plaintiff was improperly conducting its *1100 financing business, all to plaintiff's further damage in the sum of $20,000.

(1) The motions of defendants for summary judgment and to dismiss were not supported by affidavit. The operative case papers for the hearing upon such motions consisted of the second amended complaint, written interrogatories to plaintiff and answers thereto, and the motions themselves. At the hearing, one Robert Yarbrough, managing agent of plaintiff, was interrogated as the agent of plaintiff by the defendants. He also testified in direct examination.

It is obvious from the record before us that a real dispute exists between the parties concerning the terms and conditions of the contract involved in the action. Questions of fact exist as to whether the agreement rested in parol or was evidenced by written document, and if the latter, whether it was subsequently modified or replaced by verbal agreement. Genuine issues of fact exist as to whether each of the parties has fully performed the agreement. There is a dispute with reference to the rights of the contracting parties in the $57,076 reserve account, and other issues of fact requiring determination. This is apparent without answer or possible counterclaim having been filed.

The record also shows issues of material fact with respect to plaintiff's alleged claims against the defendant Woods. It is alleged that Woods' conduct was willful and malicious and that he made false representations to others concerning the plaintiff to his damage. An action for damages lies against one who intentionally and maliciously interferes with or induces another to breach a contract in which a plaintiff has an interest, or who in bad faith maliciously gives false information concerning another in his business dealings. In such cases, the question of good faith, belief in the truth of the statements made and the existence of actual malice, are primarily questions of fact for determination by the trier of facts in the action. Melcher v. Beeler, 48 Colo. 233, 110 P. 181; Calvat v. Franklin, 90 Colo. 444, 9 P.2d 1061.

Granting summary judgment on the record before us was error. A summary judgment may be granted only where there is no genuine issue as to any material fact. Rule 56, R.C.P.Colo. We have many times held, and again reiterate that a summary judgment is a drastic remedy, never warranted except in the complete absence of any genuine issue of material fact. All doubts with respect thereto must be resolved against the mover. Hatfield v. Barnes, 115 Colo. 30, 168 P.2d 552; Tamblyn v. City and County of Denver, 118 Colo. 191, 194 P.2d 299; Flanders v. Kochenberger, 118 Colo. 104, 193 P.2d 281; Holter v. Cozad, 124 Colo. 428, 238 P.2d 190.

(2) It requires no strained mental exercise to reach the conclusion that each of plaintiff's alleged guaranty bank and trust company denver co, if proved, states a claim upon which relief may be granted, and that none is vulnerable to a motion to dismiss.

The judgment is reversed and the cause remanded with directions to the trial court to vacate its judgment and to enter a rule upon defendants to answer or otherwise plead to the second amended complaint.

PER CURIAM.

The parties appear here in the same order as they appeared in the trial court. We shall so refer to them.

Defendants' motions to dismiss and for summary judgment were granted and the action dismissed. Motion for new trial was denied and the plaintiff is here by writ of error.

Plaintiff's third claim is the principal one of five claims pleaded in its second amended complaint. The others are dependent upon it. It is further alleged that on March 25, 1957, defendant trust company disaffirmed and breached its contract with plaintiff by taking and exercising control of the collection of the paper involved; that the company's conduct gave plaintiff the right to treat the contract at an end; that the trust company should be required to pay to plaintiff the balance of the purchase price on deposit in the reserve account, being the sum of $57,076; and that plaintiff be relieved from the further payment of interest and recourse responsibility on the subject notes.

The first claim alleges that on February 8, 1957, plaintiff tendered to defendant trust company for purchase under the aforementioned agreement, commercial paper in the sum of $9,795.96, but that said defendant wrongfully refused to perform the contract, resulting in loss and damage to plaintiff in the sum of $1,694.70.

The second claim alleges generally that while the agreement between plaintiff and defendant trust company was in effect, plaintiff expended the sum of $9,066.75 in acquiring commercial paper for the said defendant from which plaintiff would have derived a profit of $6,346.75, and that the trust company revoked its offer to purchase and refused to consummate a purchase of such paper, to plaintiff's further damage in the sum of $15,413.50.

The fourth claim is against defendant Walter A. Woods, individually, and in substance alleges that Woods, individually or as an agent of defendant trust company, willfully and maliciously induced the defendant trust company to breach the contract between plaintiff and defendant trust company, to plaintiff's damage in the respective amounts alleged in the first, second and third claims for relief.

The fifth claim alleges that defendant Woods willfully and maliciously induced certain reputable banks and their officers not to have business dealings with plaintiff, and that said defendant falsely represented that plaintiff was improperly conducting its *1100 financing business, all to plaintiff's further damage in the sum of $20,000.

(1) The motions of defendants for summary judgment and to dismiss were not supported by affidavit. The operative case papers for the hearing upon such motions consisted of the second amended complaint, written interrogatories to plaintiff and answers thereto, and the motions themselves. At the hearing, one Robert Yarbrough, managing agent of plaintiff, was interrogated as the agent of plaintiff by the defendants. He also testified in direct examination.

It is obvious from the record before us that a real dispute exists between the parties concerning the terms and conditions of the contract involved in the action. Questions of fact exist as to whether the agreement rested in parol or was evidenced by written document, and if the latter, whether it was subsequently modified or replaced by verbal agreement. Genuine issues of fact exist as to whether each of the parties has fully performed the agreement. There is a dispute with reference to the rights of the contracting parties in the $57,076 reserve account, and other issues of fact requiring determination. This is apparent without answer or possible counterclaim having been filed.

The record also shows issues of material fact with respect to plaintiff's alleged claims against the defendant Woods. It is alleged that Woods' conduct was willful and malicious and that he made false representations to others concerning the plaintiff to his damage. An action for damages lies against one who intentionally and maliciously interferes with or induces another to breach a contract in which a plaintiff has an interest, or who in bad faith maliciously gives false information concerning another in his business dealings. In such cases, the question of good faith, belief in the truth of the statements made and the existence of actual malice, are primarily questions of fact for determination by the trier of facts in the action. Melcher v. Beeler, 48 Colo. 233, 110 P. 181; Calvat v. Franklin, 90 Colo. 444, 9 P.2d 1061.

Granting summary judgment on the record before us was error. A summary judgment may be granted only where there is no genuine issue as to any material fact. Rule 56, R.C.P.Colo. We have many times held, and again reiterate that a summary judgment is a drastic remedy, never warranted except in the complete absence of any genuine issue of material fact. All doubts with respect thereto must be resolved against the mover. Hatfield v. Barnes, 115 Colo. 30, 168 P.2d 552; Tamblyn v. City and County of Denver, 118 Colo. 191, 194 P.2d 299; Flanders v. Kochenberger, 118 Colo. 104, 193 P.2d 281; Holter v. Cozad, 124 Colo. 428, 238 P.2d 190.

(2) It requires no strained mental exercise to reach the conclusion that each of plaintiff's alleged claims, if proved, states a claim upon which relief may be granted, and that none is vulnerable to a motion to dismiss.

The judgment is reversed and the cause remanded with directions to the trial court to vacate its judgment and to enter a rule upon defendants to answer or otherwise plead to the second amended complaint.

Decoading an ABA Routing Number

  • The first four digit of the ABA/Routing Number is assigned by the Federal Reserve Routing System and represent the bank's physical location.

  • Next two digit is designate which Federal Reserve bank the institution's electronic and wire transfers will route through.

  • Next digit mean seventh digit indicates which Federal Reserve cheque processing center was initially assigned to the bank.

  • Next digit mean eighth digit of the Routing number designates which Federal Reserve district the bank is in.

  • Lastly the nineth digit provides a checksum. The checksum is a complicated mathematical expression using the first eight digits. If the end result does not equal the checksum number, the transaction gets flagged and rerouted for manual processing.

The cheque digit is the ninth digit of the routing number and must meet the following condition.
